General Terms and Conditions

Please note that the terms and conditions of our services are governed by French law.

Normandy Consultancy is a service provider whose main activities include, but are not limited to, administrative assistance, property services, and relocation services.

General Conditions

Payment

- Unless otherwise agreed, Normandy Consultancy’s fees are based on the number and expertise of personnel required, as well as the necessary level of competence and responsibility. Hourly rates are reviewed periodically.

- Requested work will commence following payment of the initial invoice, unless prior agreement is made between Normandy Consultancy and the client.

- All relevant travel costs will be billed, and the current VAT rate will be applied to fees and expenses.

- Fees agreed upon between Normandy Consultancy and the client remain fully compliant with the obligations mentioned below.

- In the event of delays or unforeseen issues beyond Normandy Consultancy's control resulting in additional fees, the client will be informed promptly to evaluate the consequences.

- Any monthly invoices, corresponding to further fees and expenses, must be paid upon receipt.

Late Payment

- Payments delayed by 7 days will incur penalties at a rate of 10%. A flat fee of €30 may also be charged to cover collection costs.

- Normandy Consultancy reserves the right to suspend services until full payment is received without liability. Early payment discounts are not offered.

Contract Cancellation

- Cancellation of a service contract or engagement letter after signing will incur an administrative fee of €20 (including VAT), in addition to the billing of time already spent and any expenses.

- Payments must be made by bank transfer. Normandy Consultancy reserves the right to refuse payment by cheque unless previously agreed.

Service Provider Obligations

Normandy Consultancy is committed to delivering services in accordance with strict professional standards and agreed-upon contracts. Competent professionals will ensure services are rendered to meet quality expectations.

Client Obligations

To enable proper execution of services, the client must:

- Provide all necessary information and documentation within the agreed timeframe without requiring Normandy Consultancy to verify completeness or accuracy. Any omission or inaccuracies release Normandy Consultancy from responsibilities.

- Make decisions within the timeframe and secure necessary approvals from their hierarchy.

- Appoint a decision-maker to liaise with Normandy Consultancy.

- Ensure availability of key contacts during the agreement.

- Notify Normandy Consultancy immediately of any issues related to the services.

Information and Confidentiality

Normandy Consultancy is bound by professional confidentiality and will not disclose any information provided by the client. Confidentiality applies to all information delivered visually or verbally on any medium.

Exceptions include:

- Disclosure to other professionals also bound by confidentiality for the purpose of fulfilling the mission.

- Disclosures required by law, regulations, or professional obligations.

Email Communication:

Clients accept the use of email for correspondence and document transfer, acknowledging that neither party is liable for capacity, reliability, access, or security issues related to email use.

Data Protection:

Normandy Consultancy complies with the European Data Protection Regulations (GDPR). Data collected is limited to what is necessary for fulfilling contractual and legal obligations.

- Clients have the right to access, correct, or delete their data. Normandy Consultancy will confirm data deletion requests within 15 days, except for data that must legally be retained.

Conflict of Interest and Independence

In cases of conflict of interest or regulatory changes impacting service delivery:

- Normandy Consultancy will immediately inform the client and propose an appropriate solution.

- If unable to continue the service, Normandy Consultancy will provide necessary documents to facilitate third-party continuation.

Disclaimer

Normandy Consultancy’s liability for any errors, negligence, or non-compliance is capped at the fees paid for the services in question, covering all claims, regardless of their nature or origin.

Liability does not extend to:

- Issues stemming from products or services outside Normandy Consultancy’s responsibility.

- Services used in contexts or purposes differing from their original intent.

Normandy Consultancy and its insurers are not responsible for indirect damages, profit losses, or third-party claims against the client.

Transferability and Subcontracting

Normandy Consultancy reserves the right to subcontract services to providers delivering equivalent quality and expertise. These subcontractors are obligated to maintain confidentiality. Unless otherwise agreed, subcontractor fees will be billed by Normandy Consultancy.

Solicitation and Withdrawal Period

For unsolicited service agreements, clients benefit from a 14-day withdrawal period from the signing date. Written renunciation must be sent by registered letter with acknowledgment of receipt.

Example:

“I, the undersigned [name], renounce the service agreement signed on [date] with Normandy Consultancy.”

Date and signature.

Services rendered during this period upon the client’s request are chargeable.

Claims

Any claims, whether amicable or legal, relating to the services rendered must be made known within one year of completion. The customer should address their complaint in writing to the following address: 15 Rue D’Alencon, Haleine, Rive D’Andaines, Normandy 61410.

Normandy Consultancy has 10 days to acknowledge receipt of the complaint and two months from the date the letter is received to provide a reply.

If an amicable solution cannot be found, both parties may contact the mediator at the Centre de Médiation et d’Arbitrage de Paris (CMAP):

- By email at consommation@cmap.fr

If no solution is found, the dispute may be brought before the relevant court.

Independence

The execution of services does not in any way create an agency or partnership between the client and Normandy Consultancy. Neither party may bind or link the other.

**Price List and Connected Costs**

- Basic hourly rate: Administrative assistance: €15 (excluding VAT)

- Travel: €0.50 (excluding VAT) per kilometer.

- Simple translations: Upon consultation.

- Lettre recommandée avec avis de réception” sent for the customer: €8 (excluding VAT).

Administrative Assistance and Relocation Services

Documents

Normandy Consultancy will keep all original documents provided by the client and will return them upon request. All documents, information, or data given by the client remain their property. Normandy Consultancy will only retain copies of documents necessary for fulfilling the agreed-upon services.

Work documents prepared during the services are the property of Normandy Consultancy and are covered under professional confidentiality obligations.
